ORDERING  & CANCELLATION

• Hard copy purchase order is required for all orders with credit arrangements.  Orders may be changed or cancelled in writing only and prior to AlphaGen USA, Inc ’s approval.
  
• All sales quotations are valid for 10 days unless specifically stated.  All orders are subject to review and acceptance.
  
• International shipment must have proper documentation to meet US export license requirements.
  
• Prices are FOB Concord, MA  USA and subject to change without notice.
  
• All shipments to Massachusetts will be charged the state sales tax unless a valid tax exemption status is established with AlphaGen USA.

CREDIT & PAYMENT

• Net 15 days on approved credit available.
  
• Prepay by wire-transfer required for international orders or with PayPal.
  
• Letters of Credit are accepted for international orders greater than $25000.  Letters of Credit for orders less than $25000 incurs a $250 service charge.
  
• Credit line with AlphaGen USA will be reviewed and amended quarterly.
  
• $25 service fee is charged for returned checks.
  
• Accounts with 15 days payment past due will be placed on credit hold.  Accounts with over 60 days payment past due will be forwarded to collection agency or attorney for legal action.
  
• 1.5% per month finance charge will be applied to all the past dues.

WARRANTY

• AlphaGen USA warrants its workmanship and all materials to be free of defects for a period of 60 days from the ship date and 30 days of a replacement part which ever is later.
  
• Any AlphaGen USA product that our technical support determined it has failed within 10 days of its original ship date is considered "dead-on-arrival" (DOA).  All DOA products will be covered by advance replacement, subject to availability, but not applicable on special orders and monitors.  AlphaGen USA will pay shipping charges.
  
• Second advance replacement is not available for the same order.  The defective item must be returned to AlphaGen USA for replacement.
  
• Advance replacement invoice will be credited if the original purchase is returned in 15 days.
  
• Standard warranty is return-to-factory.  All warranty repairs must be shipped prepaid to AlphaGen USA.  AlphaGen USA will pay next-day air return charge.
  
• A $50.00 "no trouble found" fee will be charged for products returned for service and found to be fully functional.
  
• Out-of warranty or mishandled goods repair will incur our standard labor charge plus parts.  Turn around time is 30 days.

SHIPPING

• Standard shipping method is second-day air for US shipments and Int’l Economy for international.  Other shipping methods available upon request.
  
• Purchase order received and confirmed before 12 noon ET, subject to product availability and credit approval, is available for the same day shipping.  An overnight burn-in period is required for all the system and subsystem orders.
  
• All shipments will be insured in full unless there is a specific written instruction from the customer.
  
• Third party drop shipment is available with a $20 service charge.

RETURN PROCEDURES

• All return items must have a valid return material authorization number (RMA#) clearly marked on outside of the shipping container and be shipped freight prepaid to: AlphaGen USA, Inc., 358 Baker Ave, Concord, MA USA, Attn: RMA# ________.  Returns without RMA#  will be returned to sender.
  
• All international returns must be shipped prepaid.  A $200 service charge is applied to the customer if the return requires customhouse brokerage services.
  
• All return items must be shipped in their original shipping containers, securely padded to avoid any shipping damage.
  
• All items returned for credit must be returned within 30 days of original invoice date.  A 25% restocking fee will apply for all items returned for credit.  Shipping costs are not refundable.  No cash refunds.
  
• Mishandled goods or goods that appear to have been intentionally misused will not be credited, nor will any replacements be sent.

LIMITATION OF WARRANTY AND LIABILITY

• AlphaGen USA products are not fault-tolerant and are not designed, manufactured or intended for use or resale as on-line control equipment in hazardous environments requiring fail-safe performance, such as in the operation of nuclear facilities, aircraft navigation or communication systems, air traffic control, direct life support machines, or weapons systems, in which the failure of products could lead directly to death, personal injury, or severe physical or environmental damage ("high risk activities").  AlphaGen USA specifically disclaims any express or implied warranty of fitness for high-risk activities.
• If AlphaGen USA defaults, or because of other liability, customer is entitled to recover damages from AlphaGen USA.  Then regardless of the basis on which customer is entitled to claim damages, AlphaGen USA is liable only for the amount of any actual loss or damage up to the amount of the charges for the product or service that is the subject of the claim.  This limit also applies to any subcontractor, reseller, programmer or developer as the maximum for which AlphaGen USA is collectively responsible.  Under no circumstances is AlphaGen USA liable for third-party claims against customer for losses or damages; loss of or damage to customer's records or data; or consequential damages (including lost profits or savings) or incidental damages, even if AlphaGen USA has been informed of such possibilities.
